Subject and Scope of Application of the General Terms and Conditions
1.1. These General Terms and Conditions (hereinafter: Terms) apply to the operations of MBE Adriatic d.o.o., Zagreb, Puževa 11, OIB: 64386903048, as well as all other companies providing MAIL BOXES ETC. franchise services in the Republic of Croatia under an agreement with MBE Adriatic d.o.o. Hereinafter, all such companies are collectively referred to as MBE. These Terms govern the relationship between MBE as the service provider and the client of micro-logistics and fulfillment services described in Section 1.2 (hereinafter: Client).
1.2. The subject of these Terms is micro-logistics services, which may include:
Storage services (receiving and inspecting goods upon arrival, unloading, storing, shelving, warehouse inventory management in a WMS – Warehouse Management System, reporting stock status, preparing goods for shipment, and labeling parcels with courier labels);
Shipping and delivery services;
Delivery reporting;
Providing tracking numbers;
Cash on Delivery (C.O.D.) handling;
Returns handling.
1.3. These Terms apply to all business and contractual relationships between MBE and the Client for micro-logistics services. In case of any conflict between these Terms and a specific written agreement between MBE and the Client, the written agreement shall prevail, except for liability provisions, which will be governed by these Terms.
Contracting Services
2.1. The Client may be a legally capable individual engaged in business activity or a legal entity.
2.2. A contractual relationship may be established through a written agreement or acceptance of an offer. The agreement or offer will specify the exact service, price, delivery deadlines, and other cooperation elements. If any element is not specified, these Terms shall apply.
Storage Service
3.1. Storage services may include: receiving and inspecting goods, unloading, storing, shelving, inventory management in WMS, reporting stock levels, preparing goods for shipment, and labeling parcels.
3.2. The Client or an authorized representative must provide all necessary information about the goods, including their value, upon delivery.
3.3. MBE is not obliged to accept goods without proper shipping documents. If documentation is missing, MBE will refuse acceptance and notify the Client. Only upon receipt of proper documentation will MBE accept the goods. MBE is not liable for any damage caused by refusal to accept goods under these circumstances.
3.4. Upon receiving goods, MBE will inspect quantity, condition, and packaging, report discrepancies, refuse to sign incorrect delivery notes, and request corrections.
3.5. The Client must ensure goods are correctly packaged and clearly labeled. If labeling is insufficient or confusing, MBE may suggest improvements or carry out labeling at the Client’s expense.
3.6. Once inspected and compliant, MBE will unload and accept goods into storage.
3.7. MBE will organize shelving, manage inventory in WMS, and provide stock reports upon written request.
3.8. MBE will insure goods against common risks (earthquake, fire, flood, water damage, burglary) only if agreed in a written contract or offer. Liability is limited to the insurance coverage. Clients may arrange additional insurance at their expense.
3.9. MBE is not liable for damage due to force majeure, third-party actions, Client fault, inherent product defects, or improper packaging. Compensation for damage cannot exceed the actual value of the goods unless caused intentionally or by gross negligence.
Shipping and Delivery of Goods
4.1. Deliveries are performed strictly according to the Client’s instructions, which must be clear regarding goods, recipient, method, and delivery time.
4.2. Orders received by 12:00 PM on working days are processed the same day; orders received after 12:00 PM or on non-working days are processed the next business day.
4.3. Delivery options include Economy (within 72 hours) or Express (within 24 hours).
4.4. MBE will provide delivery reports upon the Client’s request.
4.5. MBE generally selects couriers but will follow the Client’s written instructions regarding courier choice.
4.6. MBE will make every effort to provide timely service but cannot control courier operations. In case of force majeure, all deadlines are suspended, and MBE may claim proportional fees for services rendered. Any Client claims for damages in such cases are excluded. For courier delays or issues, the Client must contact the courier directly. Tracking numbers will be provided upon request.
4.7. MBE will transfer any payments received from couriers for Client sales within one week.
4.8. MBE will accept returned goods at the warehouse if requested by the Client.
Pricing and Payment
5.1. Prices are defined in the agreement, offer, or MBE price list.
5.2. For changes or additional services not initially agreed, MBE may issue a supplementary offer.
5.3. The Client must pay within the timeframe specified by MBE.
5.4. MBE has a lien on goods for any claims arising from the business relationship.
Duration and Termination of Contract
6.1. Contracts for ongoing services are usually indefinite; for individual services, they last until completion unless otherwise agreed in writing.
6.2. MBE may terminate the contract in case of Client breach or at any time with 15 days’ notice without specifying reasons. Termination must be communicated in a verifiable manner.
6.3. Upon contract termination, the Client must collect their goods. If not collected within a specified period, MBE may sell the goods and will notify the Client beforehand.
Personal Data Processing
7.1. MBE will request only personal data necessary for service execution.
7.2. For details on data processing, the Client may contact MBE via the information on www.mbe.hr, which also contains the Privacy Statement.
Dispute Resolution
8.1. MBE and the Client will seek amicable resolution of disputes arising from contractual relations. If unresolved, the competent court in Zagreb shall have jurisdiction, applying Croatian substantive law.
Final Provisions
9.1. These Terms apply from May 26, 2021.
9.2. MBE reserves the right to amend the Terms. The amended Terms also apply to existing contracts unless the Client notifies MBE in writing within 15 days of publication that they do not accept the changes. In such a case, MBE may terminate the existing contract by notifying the Client.

Logistics and shipping services are MBE’s core offerings—facilitated through agreements MBE makes for the benefit of its franchisees with major domestic and international express couriers—along with other graphic and printing services, provided either directly or through agreements with large printing centers. Promotion of services to business and private customers is carried out as part of the business activities of each MBE franchise partner, both inside and outside MBE centers ("farming"). Each franchise partner is contractually obligated to perform such activities.
